  1.                               SOFTWARE DEVELOPERS

  3.     Computer-generated-holograms will become the backbone of photonic
  4. technology development.  Software that is capable of directly producing
  5. photonic transistor products and product prototypes is expected to become very
  6. valuable, because the products they produce will be valuable.
  7.  
  8.     Complex photonic transistor products will require complex hologram
  9. generation. CAD software will permit an engineer to lay out a design and
  10. organize each of its photonic components.  The software must then produce a
  11. set of holograms that can be photographically reproduced as the manufactured
  12. products.
  13.  
  14.     To understand the process, programmers need hands-on experience with
  15. the elementary functions of holographic generation.  From that beginning,
  16. faster and more sophisticated programs can emerge.
  17.  
  18.     The elementary set of programs that are a part of our development
  19. package will generate holograms.  However, their greatest value will be as a
  20. basis for the development of CAD software. Would you like to become a Photonic
  21. Transistor Software Developer?
  22.  
  23.     The software you develop will produce functioning photonic transistor
  24. devices. Because the photonic transistor is patented, it is illegal to MAKE,
  25. SELL, or USE the holograms produced without a license.  So to get you started,
  26. we are providing a special license for testing your holograms along with our
  27. development package of hologram-producing programs. The programs you develop
  28. may then be tested by producing actual functioning photonic transistor devices.
  29.  
  30.     When your software is completed, you may submit it to us for evaluation
  31. for sale through our sales network. If it is accepted, arrangements can be made
  32. through us to provide licenses for your software customers.
  33.  
  34.     To become a Photonic Transistor Software Developer, please fill out the
  35. Software Developers license application. Because scope of this license is
  36. smaller than the more general license provided to those who wish to develop
  37. photonic transistor products themselves, this license is being offered at a
  38. reduced rate.

  43.       HOW TO FILL OUT THE SOFTWARE DEVELOPER'S LICENCE APPLICATION

  45.                    PHOTONIC TRANSISTOR SOFTWARE TESTING
  46.  
  47.    The following two pages are the actual licence agreement. It is a legal  
  48. contract between you and the Rocky Mountain Research Center that permits 
  49. research and development to begin.  Until you have received back your  
  50. countersigned copy of the license, no device or product using the patented  
  51. photonic transistors or the method used to create computer functions using 
  52. interference fringe component regions may be constructed or used. Nor are 
  53. you protected under the terms of the licence until it has been approved and 
  54. returned to you.

  56.    This license has been prepared for individual developers.  If you are 
  57. applying for a company, please contact the Rocky Mountain Research Center 
  58. for a copy of the license that contains the adjustments in language to make 
  59. the license applicable to a company rather than an individual. 
  60.  
  61.    Print out the two pages separately. The print must be clear and easy to 
  62. read and photocopy.  
  63.  
  64.    The name and address at the top of page 1 may be typed, printed in ink, 
  65. or filled in using an ASCII text editor in the blanks provided. Absolutely 
  66. NO other CHANGES are permitted in the text of the agreement. It must be printed 
  67. out exactly as you received it in this file.

  69.    After printing, SIGN and DATE legibly, in INK, on the lines marked 
  70. "Signature Licensee" at the bottom of BOTH pages. 
  71.  
  72.    Then return it with the license fee to:

  78.   If accepted, your license will be signed and returned along with the photonic 
  79. transistor development package.  If a problem occurs we will contact you for 
  80. clarification and correction before sending your license by return mail.

  82.   Foreign checks and money orders must be in U.S. funds, and may require an 
  83. additional $20 bank collection fee. To avoid this, use American Express money 
  84. orders available from American Express offices all over the world. Overseas 
  85. airmail, or fast delivery services must be prepaid. 
  86.  
  87.   All licensees, both foreign and domestic, should be aware that certain 
  88. products that you develop, and certain information about such products may be 
  89. restricted by other laws involving technology transfer and export. Such 
  90. determination must, of necessity, be made on a case-by-case basis. Therefore, 
  91. there may be a delay in the processing of foreign applications while possible 
  92. legal restrictions are being investigated. If there are additional legal 
  93. requirements, we will notify you.  However, it is your responsibility to meet 
  94. all of the legal demands of your own country (if any,) and report these to us. 
  95.  
  96.   This license is for research and development only. An additional license is 
  97. required for the manufacture and sale of any photonic transistor products.  
  98.  
  99.   No guarantee is made as to whether the products you develop will be accepted 
  100. for sale through our network, just as you are not guaranteeing that you will 
  101. develop any certain product.  The details of future agreements, and products 
  102. to be sold must be determined in the future.

  106.                             NONEXCLUSIVE LICENSE 
  107.                             PHOTONIC TRANSISTOR 
  108.    THIS AGREEMENT made and entered into by and between ROCKY MOUNTAIN RESEARCH 
  109. CENTER, whose address is P.O. Box 4694, Missoula, Montana 59806, U.S.A.,  
  110. hereinafter referred to as Licensor, and

  123.    Licensor is the owner by assignment from the inventor of U.S. Patent No.  
  124. 5,093,802 for "Optical Computing Method Using Interference Fringe Component  
  125. Regions," commonly known as Photonic Transistor, hereinafter referred to as  
  126. Licensed Patent. 
  127.  
  128.    Licensee desires to license the Licensed Patent from Licensor. 
  129.  
  130.    THEREFORE, in consideration of mutual covenants contained herein and upon  
  131. signature of an authorized representative of Licensor, Licensor hereby grants  
  132. to Licensee a nonexclusive license to make computer-generated-holograms 
  133. containing the Licensed Patent for the purposes of evaluating software used
  134. to produce said holograms.

  136. 1. WARRANTY OF TITLE. Licensor represents and warrants that it is the owner of 
  137. the Licensed Patent, and that it has the right to grant the license described 
  138. hereinafter. 
  139.  
  140. 2. LICENSE GRANT. Licensor hereby grants to Licensee, and Licensee hereby 
  141. accepts, a nonexclusive, nontransferable, nonassignable license to make and 
  142. test devices covered by the claims of the License Patent for the purposes of
  143. testing computer-generated holograms containing said devices. The rights 
  144. granted herein do NOT include the right to sell or produce for sale, or profit
  145. in any way, from any technology, developments, products or information 
  146. developed or created as a result of or pursuant to activities under this
  147. license, except by the sale of hologram-generating software to the Licensor
  148. or to person(s), or organization(s) designated in writing by the Licensor, if
  149. Licensor determines to do so. Licensor is not obligated by this agreement to 
  150. purchase said software.

  153. 3. DURATION. This license shall continue for a period of three years from the 
  154. date of acceptance by Licensor, and shall be renewable, on terms to be  
  155. determined by Licensor, for successive three-year periods. 
  156.  
  157. 4. EXECUTION AND PAYMENT. When submitting this license for approval of 
  158. Licensor, Licensee shall submit a signed copy of this license, together with a 
  159. cashier's check, postal money order or personal check (personal check must 
  160. clear bank before license becomes effective) in the amount of Two Hundred
  161. Fifty dollars ($ 250.00). Upon receipt of this license properly completed and 
  162. executed and a determination that Licensor desires to so license, and upon 
  163. clearance of check if a personal check is used, Licensor shall countersign 
  164. and deliver a copy of this license, together with a photonic transistor
  165. development package and instructions to Licensee.

  175. 5. TERMINATION. Licensor may cancel this license if Licensee conducts  
  176. activities inconsistent with the terms of this license.  There shall be no 
  177. right to correct such inconsistencies for the purpose of keeping this license 
  178. in effect.  Upon termination, Licensee shall immediately cease all activities 
  179. under this license. Should legal action be necessary to enforce this provision,
  180. Licensee agrees to pay all court costs and all of Licensor's attorney fees.

  182. 6. CROSS-LICENSING. Licensee hereby agrees that if Licensee makes any 
  183. significant developments related to the Licensed Patent, Licensee will 
  184. immediately notify Licensor and that Licensee hereby licenses Licensor to  
  185. conduct research, product development and evaluation of such developments 
  186. under the same terms and conditions as the present license. 
  187.  
  188. 7. GOVERNING LAW. This license is entered into in the State of Montana and, 
  189. as such, is controlled by Montana State law, and U.S. Federal law, and any  
  190. actions brought to enforce any terms of this license shall be brought in  
  191. Montana. Both parties agree to Montana jurisdiction and venue. 
  192.  
  193. 8. LIABILITY. Licensor shall not be held liable for any activity related to
  194. this license, or the use or misuse of any product, or process involving the
  195. Licensed Patent.
  196.  
  197. 9. ENTIRE AGREEMENT. This writing sets forth the entire agreement and 
  198. understanding between the parties, there being no oral agreements, promises
  199. or representations which are or may be incidental or supplementary to the 
  200. provisions hereof.
